During his years of experience in commercial litigation, Gibson has seen repeatedly that failure to plan leaves a company vulnerable. The most common mistakes involve: Failing to set up a proper business entity, maintaining corporate formalities, segregating business enterprises into distinct entities, using a qualified statutory agent, establishing and properly funding a buy-sell agreement, creating and regularly updating an estate plan, following state and federal employment laws, setting up reasonable restrictive covenants and protecting intangible assets.
