Wireless Data Solutions Completes Due Diligence for Acquisition Poised For Growth

(ticker: WDSO) http://www.wdso.net, headquartered in St. Cloud, MN and Zepco Sales and Service, Inc., http://www.zepco.com, a privately held company headquartered in Richardson, Texas announced that they have satisfactorily completed the due diligence for the WDS acquisition of Zepco, and have jointly signed a Letter of Intent.

Pat Makovec Chairman of WDS stated that, "This marks the implementation of the second step of our aggressive growth strategy. The first step was our merger agreement with the IDA Corporation http://www.idaco.com, a privately held company in Fargo, North Dakota. Separately, IDA and Zepco's operating performance have significant growth opportunities. Rolling them into WDS and infusing growth capital provides WDS with average 44 percent projected three year revenue growth and an average after tax profit projection of approximately 20 percent."

Presently WDSO has one subsidiary Distributed Networks Inc. (aka DINET), headquartered in Oceanside, CA. DINET had been a leader in the development and marketing of "ruggedized" mobile wireless data communications for vehicle fleets in the construction Industry via the use of Mobile Data Terminals that eliminated numerous problems inherent with standard two-way radio systems.

Zepco, Inc. (or the "Company") incorporated in Texas in May 1972, primarily serves the bus fleets of public school districts by providing them with Event Data Recorders (EDR) or "black box" devices for their vehicles.

Discussing the new WDS growth strategies, Makovec emphasized, "Zepco's penetration of the school bus market and the reality that they represent one of only a handful of companies with Event Data Recorders in this market. The school bus market is a high-growth area that is massively underexploited. Research indicates the school bus industry is a $10.5 billion space. Via our (WDS) merger with IDA and the acquisition of Zepco, we have laid a solid foundation to leverage IDA's engineering and manufacturing infrastructure, their dealer network (approximately 3,000 dealers nationwide) and the WDS stock to rapidly exploit the opportunities in this market."

Today, Zepco solutions provide mission critical data for public school transportation managers and private fleet owners in order to manage and track their mobile work force. The EDR recording system provides vehicle activity reports for management including vehicle start time, distance traveled, speed, stop time, length of stop, equipment usage (including brakes and safety equipment) and other features.

IDA designs and manufacturers electronics accessories for the communications industry, and is a world leader in designing and manufacturing Base Station Remote Controllers for two-way wireless radio manufacturers and dealers, federal, state, and local governments, and the business-to-business market.
